01Agreement

These Terms & Conditions (“Terms”) are a legal agreement between SWNG AI (“SWNGAI,” “we,” or “us”) and the organization or individual accessing the SWNGAI Manufacturing Intelligence Platform and related services (the “Services”). By accessing or using the Services, you agree to these Terms.

02Accounts and Access

Access to the Platform is subject to approval. Upon approval, credentials are issued to authorized users. You are responsible for maintaining the confidentiality of credentials and for all activity under your account, and must promptly notify us of any unauthorized use.

03Subscriptions and Fees

The Services are provided on a subscription basis according to the plan you select. Fees are billed monthly or annually as specified at purchase. Unless stated otherwise, fees are non-refundable and exclude applicable taxes.

04Acceptable Use

You agree not to:

• Use the Services in violation of applicable law or third-party rights.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to the Services or related systems.
• Reverse engineer or copy the Services except as permitted by law.
• Resell or provide the Services to third parties without authorization.

05Customer Data

You retain all rights to the operational and other data you provide to the Platform (“Customer Data”). You grant us a limited license to process Customer Data solely to provide and improve the Services in accordance with our Privacy Policy and your instructions.

06Intellectual Property

The Services, including all software, models, and documentation, are owned by SWNGAI and its licensors and are protected by intellectual property laws. No rights are granted except as expressly set out in these Terms.

07Service Availability

We aim to provide reliable, available Services and offer a service level commitment as described in the applicable plan. Scheduled maintenance and factors outside our reasonable control may temporarily affect availability.

08Confidentiality

Each party agrees to protect the other's confidential information with reasonable care and to use it only as necessary to perform under these Terms.

09Warranties and Disclaimers

The Services are provided “as is” and “as available.” Except as expressly stated, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising out of the Services will not exceed the fees paid by you in the twelve months preceding the event giving rise to the claim.

11Term and Termination

These Terms remain in effect while you use the Services. Either party may terminate for material breach that remains uncured after notice. Upon termination, your right to access the Services ceases, and Customer Data will be handled in accordance with our Privacy Policy and your contract.

12Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-laws principles, unless otherwise required by applicable law or a separate written agreement.
